Salesforce has entered into a definitive agreement to acquire the customer engagement platform Braze for an enterprise value of approximately $5,66 billion. The transaction will be settled in cash, with Salesforce paying $47,50 per share, representing a premium of about 58% over the recent trading price. Following the announcement, Braze shares rose by approximately 51%.

The deal is expected to close in Salesforce’s fiscal year 2028, pending regulatory approvals. Both companies have agreed to termination fees should the agreement fail: Salesforce would pay $300 million, while Braze would owe $191,4 million. Braze currently provides services to approximately 2 770 customers.

Salesforce intends to integrate Braze’s real-time data streaming and AI-driven content optimization into its existing product suite. The planned integration covers Data 360, Customer 360, Marketing Cloud, and the company’s flagship AI platform, Agentforce.

This acquisition follows a series of recent investments by Salesforce in the AI and marketing software sector. Earlier in 2026, the company acquired Qualified for approximately $1,2 billion and Fin/Intercom for $3,6 billion. The Braze deal currently stands as the largest among these recent transactions.
