Anthropic has outlined a governance structure in its IPO registration filing that ensures the seven co-founders retain control over major corporate decisions. Through a dedicated entity called Founder LLC, the founders will hold 50.1% of the total voting power via a single Class F share. This share grants no economic rights but provides significant influence over shareholder matters, including director elections.

The company is also establishing a Long-Term Benefit Trust (LTBT) to manage board composition. By holding a single Class T share, the trust will have the authority to appoint and remove directors who will constitute a majority of the board. Together, Founder LLC and the LTBT will effectively control the board, limiting the influence of Class A common shareholders on voting outcomes.

Anthropic is registered as a public benefit corporation, which allows it to prioritize social impact alongside financial performance. The company explicitly warned investors that this governance model could complicate potential acquisitions or management changes. Management noted that this structure might negatively impact demand for shares, as it restricts the influence of typical shareholders.

The company aims to maintain its focus on the responsible development of advanced AI for the long-term benefit of humanity. This approach is intended to differentiate Anthropic from businesses solely focused on profit maximization. In October, the company also announced that it would allocate 5% of its shares to support public benefit initiatives.
