Meta Platforms Inc. announced a plan to raise up to $95 billion through stock sales to fund its data center infrastructure. The initial phase involves transactions totaling $35 billion, with approximately two-thirds coming from common stock. Nvidia, AMD, and Broadcom have expressed interest in purchasing up to $5 billion of these shares.

The offering includes $12.5 billion in Series A depositary shares, which will convert into common stock on August 15, 2029. Underwriters have an option to purchase an additional 37.5 million depositary shares and $3.375 billion in common stock. Meta plans to raise the remaining $60 billion through an at-the-market offering starting early next year.

Capital will support the construction of four AI superclusters, each exceeding 1 gigawatt of capacity. The Hyperion campus in Louisiana is designed for 5 gigawatts and requires 10 new power plants. Meta is partnering with Blue Owl Capital, which committed $7 billion to Hyperion, and is planning a similar partnership with BlackRock for a Texas-based supercluster.

The infrastructure supports Meta’s Muse large language models, including the Muse Wonder Full model. The company aims to improve cost efficiency by reducing the hardware footprint of its models and optimizing inference infrastructure. Meta also intends to increase the utilization of its computing power and energy resources during periods of low user traffic.
