Fugazi Research released a report on October 5, 2026, labeling Stablecoin Development Corporation (SDEV) as uninvestable. The firm claims the company lacks stablecoin infrastructure and operational business, functioning primarily as a holding vehicle for SKY tokens.
As of October 2, 2026, SDEV held 2.32 billion SKY tokens, representing 10% of the total supply. The fair value of these holdings reached $180 million by September 30, up from $119.2 million in June 2026. In Q2 2026, the company reported $2.2 million in staking rewards.
The company, formerly NovaBay Pharmaceuticals, rebranded and began trading on the NYSE American in April 2026. Its pivot was supported by a $134 million private placement in January 2026, which included $25 million in cash, 943.6 million SKY tokens, and $51 million in stablecoins.
Fugazi Research identified several risks, including liquidity issues due to the large SKY position and potential conflicts of interest. The CEO of a linked fund reportedly provided 74% of the tokens in the private placement. Additionally, a pending S-3 registration could allow the resale of 212.9 million shares, four times the current outstanding count.
The report also highlighted SDEV's own disclosures regarding potential wash trading that may inflate reported volumes. Investors are advised to monitor the S-3 registration status and the volatility of the SKY token, as the company lacks significant operating revenue to offset potential price drawdowns.
