The SEC introduced the Innovation Exemption, a five-year regulatory framework effective from September 17, 2026, to September 17, 2031. This initiative establishes a new category known as Tokenized Securities Venues, allowing platforms to trade tokenized National Market System stocks using automated market makers and liquidity pools without traditional exchange registration.
To qualify, tokenized stocks must grant full shareholder rights, including voting power and dividends. Synthetic products offering only derivative price exposure are excluded. Goldman Sachs analysts identified Coinbase as a primary beneficiary, as its current offerings already meet these requirements. Robinhood would need to restructure its offshore synthetic products to comply.
The announcement impacted market performance, with Coinbase shares rising by approximately 5–11% and Robinhood shares increasing by about 9.6%. Analysts also noted that Circle could benefit, as stablecoins are expected to serve as the primary settlement infrastructure for onchain equity trading.
The SEC created this sandbox to facilitate experimentation in tokenized trading, acknowledging that current regulations are insufficient. The agency is currently accepting community feedback, which may influence future permanent rulemaking for the sector.
