RedLattice Inc., a provider of cyber intelligence tools for military and law enforcement, announced plans to go public via a merger with Bold Eagle Acquisition Corp. The deal values the company at $1.25 billion. The transaction is expected to close by the end of the year, pending shareholder approval and regulatory clearance. Shares will trade on Nasdaq under the ticker REDL.
Founded in 2012, RedLattice serves over 100 customers in 23 countries. The company reported sales of $267 million for the 12 months ending June 30, representing a 29% year-over-year increase. Existing shareholders are rolling their entire equity stake into the new entity, with AE Industrial Partners remaining the largest shareholder.
The deal could raise approximately $610 million. This includes $335 million in committed capital, consisting of $275 million in convertible notes from Loomis, Sayles & Co. LP and $60 million in common stock purchases. The remaining funds will be sourced from Bold Eagle’s trust account.
Proceeds from the SPAC merger will be used to refinance debt and settle the final earnout payment for Paragon Solutions. AE Industrial acquired the Israeli spyware developer in December 2024 for $500 million and integrated it into RedLattice. Paragon's product, Graphite, is a mobile spyware tool.
