Priority Technology Holdings has entered into a definitive agreement to be taken private by an investor group led by CEO Tom Priore. The deal values the company at approximately $1.6 billion. Under the terms, the group will acquire all outstanding shares it does not currently own for $8.05 per share in cash.

The offer represents a 38% premium over the closing share price on September 18 and a 65% premium compared to the price on November 11, 2025. The latter date marks the final trading session before the group disclosed its initial non-binding acquisition proposal. At that time, Priore already held about 58% of the company's stock.

A special committee of independent directors reviewed the proposal and unanimously recommended the transaction. The deal is expected to close in the first half of 2027, subject to customary closing conditions. The company aims to use this transition to further its vision for Connected Commerce.

In its second-quarter report for 2026, Priority announced a 9% year-over-year revenue increase to $262.3 million. The company reaffirmed its full-year 2026 guidance, projecting revenue between $1.01 billion and $1.04 billion, representing a growth rate of 6% to 9%.

Priority recently expanded its operations by securing a contract to provide payment and treasury solutions for the NFL team Tampa Bay Buccaneers. Additionally, the company is in the process of acquiring the government and utility payment processing firm IntelliPay.
