Shareholders of Intesa Sanpaolo approved a capital increase on September 10, 2026, to fund the acquisition of Banca Monte dei Paschi di Siena. The vote authorized the issuance of up to 5.7 billion new ordinary shares, with 97% of votes in favor.

The current takeover bid is valued at approximately €35.4 billion, representing a 12.5% premium over the share price of MPS before the initial offer on June 8. The deal structure offers 1.6 new Intesa shares and €1 in cash for each MPS share.

The merged bank expects to serve over 27 million clients and manage €2 trillion in assets by 2029. Intesa projects €2.9 billion in gross annual synergies by 2029, with 60% of these gains anticipated by 2028.

Intesa reached an agreement with Unipol Assicurazioni to sell 635 MPS branches in the second half of 2027. The tender offer for the acquisition is scheduled to launch between October and November 2026, subject to regulatory approval.
