HGP Intelligent Energy, a nuclear services firm based in Dallas, has announced plans to go public through a merger with the special purpose acquisition company Meshflow Acquisition Corp. The deal values the company at approximately $1.2 billion, provided there are no redemptions by shareholders of the SPAC, which trades on Nasdaq under the ticker MESH.
The transaction is projected to generate $345 million in gross proceeds. These funds are earmarked for the commercialization of nuclear technologies intended to supply power to AI data centers and local grids. Following the merger, both entities will operate under a newly formed holding company, Leyte Parent, Inc., with HGP’s pre-money equity valuation estimated at $800 million.
The company’s primary project, the CoreHeld initiative, focuses on retrofitting decommissioned naval reactors into commercial power plants. These facilities are designed to generate between 450 and 520 megawatts of electricity. Development takes place at the Integrated Naval Nuclear Energy Campus, where the firm works on proprietary coolant pump systems and the NthSim digital twin platform.
In addition to its public offering plans, HGP has secured a partnership with the engineering firm Shaw Group to advance nuclear lifecycle innovation. This move follows the company's selection by the Department of Energy in July 2026 for the Nuclear AI Moonshot program, a development that preceded the decision to go public by two months.
