Anthropic is preparing for an initial public offering while implementing a unique governance structure. The company will utilize a 'Founder LLC' entity, which will be composed of seven co-founders, including CEO Dario Amodei. This structure is designed to ensure the founders maintain decisive influence over the company's long-term direction after it goes public.

The core of this control mechanism is a special class of F-series stock. Although these shares represent a small portion of the total equity, they hold 50.1% of the total voting power. This allows the founding team to dominate the election of board members and influence key corporate decisions, regardless of the amount of stock held by public investors.

Anthropic will maintain its status as a Public Benefit Corporation under Delaware law. This legal framework permits management to prioritize social goals and responsible AI development over the maximization of shareholder returns. The company acknowledges that this priority may lead to decisions that do not align with short-term or long-term financial interests.

The company has also introduced four other share classes. While strategic partners hold equity, their voting rights remain restricted. In contrast, Class A common stock, intended for public investors, follows a traditional one-share-one-vote mechanism. This structure ensures that the founding team retains ultimate control over the company's strategic mission.
