MoonPay has entered into an agreement to acquire North Capital, a provider of private-markets infrastructure. The transaction is structured as an all-stock deal valued at more than $60 million. Following the completion of the deal, North Capital will operate as a wholly owned subsidiary of MoonPay.
The acquisition grants MoonPay access to North Capital’s registered US broker-dealer, alternative trading system, transfer agent, and investment adviser services. These assets are intended to support MoonPay’s expansion into the issuance, custody, and secondary trading of tokenized securities and real-world assets.
North Capital, based in Midvale, Utah, previously secured $2.18 million in a seed round in October 2021 with backing from Karlani Capital and Fiduciary Trust International. The firm has facilitated over $8.7 billion in primary and secondary transaction volume to date.
MoonPay, which currently holds a valuation of $3.4 billion, has been actively acquiring companies throughout the year. Previous purchases include Sodot, DFlow, and Entendre, which were integrated to enhance the company's capabilities in institutional custody, onchain trading, and financial operations.
The acquisition agreement has received approval from the boards of both companies. The finalization of the deal remains subject to customary closing conditions and regulatory approvals.
