GAC Group announced plans for a significant asset restructuring involving the acquisition of equity in a vehicle joint venture from FAW Group. The company intends to issue shares to fund this purchase and raise additional capital.

Reports indicate the target entity is FAW Toyota Motor. Currently, FAW holds a 50% stake in the venture, while Toyota Motor and Toyota China hold 45.7706% and 4.2294% respectively. This move marks a major step toward merging GAC Toyota and FAW Toyota operations.

The proposed merger involves creating a new Toyota China sales entity. Under this plan, Toyota would hold 50% of the shares, while GAC and FAW would each hold 25%. The strategy includes consolidating dealership channels and retaining only global vehicle models.

The restructuring aligns with broader industry guidance from China's National Development and Reform Commission. Officials are encouraging large automotive groups to merge and reorganize to optimize R&D and production resources, thereby reducing redundant competition.
