Circle Acquisition, a special purpose acquisition company, has reportedly filed for a $150 million initial public offering. The firm intends to target sectors including digital assets, technology, and healthcare. However, as of September 15, 2026, no verifiable S-1 filings for this entity have appeared in the SEC EDGAR database.

The company is not affiliated with Circle Internet Group, the issuer of the USDC stablecoin. Circle Internet Group previously abandoned a SPAC merger and completed a traditional IPO in June 2025, raising approximately $1.1 billion at a share price of $31. The issuer trades on the NYSE under the ticker CRCL.

The market for blank-check companies remains active despite increased regulatory oversight from the SEC. Other recent filings include Eaglesky Acquisition Corp, which proposed an offering of $100 million to $115 million, and Oceanhawk Acquisition II, which announced a $150 million raise.

The name Circle Acquisition also creates potential confusion with vehicles led by Betsy Cohen, specifically Cohen Circle Acquisition I and II. Those entities previously raised between $200 million and $220 million to pursue fintech opportunities and are distinct from the newly reported filing.
