BitGo finalized the acquisition of NYDIG’s trading division on August 27 for a total of $42.5 million. The payment structure included $7 million in cash and approximately $35.5 million in BitGo stock. An additional $15 million in performance-based earnouts may be paid out, contingent upon future revenue milestones.

The integration brings new capabilities to BitGo, including derivatives, structured products, and financing services. These complement the company’s existing infrastructure for custody, settlement, and wallets. Approximately 30 former NYDIG employees have joined BitGo as part of the transaction, which was announced and closed simultaneously.

BitGo’s CEO Mike Belshe stated that the acquisition aims to provide institutional clients with a unified platform for the entire lifecycle of digital assets. This strategy allows asset managers and bank treasury desks to consolidate their operations under a single provider rather than managing multiple vendor relationships.

NYDIG is shifting its strategic focus toward energy and computing infrastructure, specifically targeting bitcoin mining and high-performance computing data centers with a development pipeline exceeding 3 gigawatts. The sale of the trading unit facilitates this reallocation of resources.

BitGo utilized its public stock as a primary acquisition currency following its January 2026 listing on the NYSE under the ticker BTGO. The earnout structure is designed to incentivize the former NYDIG team to retain their existing client base during the transition period.
