Bending Spoons has reached an agreement to acquire Miro in an all-cash transaction. The deal values the business at $1,355 billion in enterprise terms, with an equity value of approximately $1,79 billion. Certain shareholders will reinvest $295 million into Bending Spoons stock.
The acquisition is expected to close in the fourth quarter of 2026, subject to regulatory approval. Until then, both companies will operate independently. The boards of directors of both firms have already approved the transaction.
The current valuation represents a significant decline from Miro's peak in January 2022, when the company was valued at $17,5 billion. Miro currently reports annual recurring revenue of approximately $600 million, serving over 250 000 organizations and four million paying users.
This deal marks the second major acquisition for Bending Spoons in five weeks, following its purchase of Airtable for an equity value of about $2,25 billion. Bending Spoons intends to focus on the performance, reliability, and functionality of the platform post-closing.
Bending Spoons, which recently debuted on the Nasdaq with an $18,4 billion valuation, maintains a portfolio that includes companies such as Evernote, Vimeo, and WeTransfer. The firm aims to improve efficiency and revenue within its acquired software assets.
