Analog Devices has entered into an agreement to acquire Alif Semiconductor for $1,35 billion in cash. The deal includes an additional $200 million in contingent consideration, which brings the total potential value of the transaction to $1,55 billion.
The boards of directors of both companies have approved the acquisition. The transaction is expected to close by the end of 2026, subject to standard regulatory approvals and the expiration of the Hart-Scott-Rodino waiting period.
Founded in 2019 and based in Pleasanton, California, Alif Semiconductor produces microcontrollers and fusion processors for edge AI workloads. Its technology enables machine learning inference directly on devices with low latency and power consumption.
The chips from Alif utilize heterogeneous architectures that integrate single-core and multi-core systems with neural processing units. The company is currently shipping its products in production volumes for consumer and industrial applications.
ADI CEO Vincent Roche stated that the acquisition aims to advance physical intelligence by combining Alif's processing capabilities with ADI's expertise in sensing and signal processing. This follows ADI's acquisition of Empower Semiconductor in July 2026.
