Agility Robotics, the manufacturer of the Digit humanoid robot, has announced a merger with the special purpose acquisition company Churchill Capital Corp XI. The transaction values the Oregon-based company at $2.5 billion pre-money. The deal is expected to generate over $620 million in gross proceeds, comprising $421 million from the SPAC trust and approximately $200 million from a PIPE investment led by Foxconn.

The company aims to finalize the merger in the fourth quarter of 2026, pending regulatory and shareholder approval. Following the completion, the entity will operate as Agility Robotics, Inc. and list on the Nasdaq exchange under the ticker symbol AGLT. This move would establish the first publicly traded humanoid robotics firm focused on real-world deployments.

As of May 2026, Agility secured over $300 million in long-term orders for its Digit v5 robots, including a three-year contract for 1,000 units. The company reported nine committed facility deployments and over 65,000 operating hours for its Digit 4 models with clients such as GXO, Schaeffler, and Toyota. In 2025, the firm generated $1.8 million in revenue against an operating loss of $140 million.

Founded in 2015, Agility Robotics employed approximately 393 people as of mid-2026. The company is developing a manufacturing facility, RoboFab, designed for an annual capacity of 10,000 units. Management anticipates a growth phase leading into broader commercialization in 2027.
